Associate General Counsel*

This position provides a broad range of corporate legal services and advice to Bristol Bay Native Corporation.

Draft or review and negotiate contracts in the areas of commercial, finance, and corporate transactions on behalf of various BBNC departments and certain subsidiaries, including but not limited to financing agreements, confidentiality agreements, commercial leases, master service agreements, and professional service contracts; Draft or revise operating agreements and appointment letters for certain subsidiaries; Draft minutes and resolutions, as needed, for BBNC and certain subsidiaries; Review and approve proposed distributions of stock transferred by inheritance or devise, and provide legal advice to Shareholder and Corporate Relations Department regarding stock transfers; Provide legal advice and manage legal risks on a wide range of legal issues, involving contracts, employment matters, corporate governance, trademarks, regulatory compliance, entity management, and mergers and acquisitions; Monitor legal developments that may impact BBNC and provide related advice; Provide training and education to assist employees in understanding legal requirements and best practices; Prepare legal memorandum, research and recommendations as requested; Work collaboratively with legal department and corporate-wide staff to respond appropriately to legal and compliance issues; and Work on special projects as assigned by the Executive Vice President & General Counsel.
Required Skills and Abilities:
Practical knowledge of applicable federal and state laws and regulations, especially the Alaska Native Claims Settlement Act and its provisions relating to the rights and responsibilities of Native corporations and their shareholders.
Excellent oral and written communication skills.
Excellent legal research skills.
Strategic thinking, problem solving and analytical ability.
Ability to oversee and interact with outside counsel to manage legal matters requiring specialized expertise or resources.
Strong leadership, organizational and planning skills.
Dependable and ability to work independently yet provide timely reporting and debriefing.
Minimum
Qualifications:
A juris doctorate (JD) degree from an accredited law school.
Membership in the Alaska State Bar preferred.
Minimum of 3 years in the active practice of law with increasingly responsible professional legal experience and business acumen.
Experience in corporate transactions, contract negotiations, corporate governance, business law, stock transfers, mergers and acquisitions, employment, and regulatory compliance.
High degree of computer literacy, project management skills, and strong proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook, Teams).
Physical Demands Hiring preference will be given to BBNC shareholders/descendants and Alaska Natives in accordance with Public Law 93-638.

Don't Be Fooled

The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
